Dealer & Vendor Agreement

Important: This agreement limits platform liability and requires you to indemnify Let's Nduthis for claims arising from your listings and conduct. You must accept this agreement (and keep your WhatsApp Business number current) before buyers can order from your shop.

1. Parties & acceptance

This Dealer & Vendor Agreement ("Agreement") is between Let's Nduthis and you, the business or individual listing parts, bikes, or services on the Platform ("Dealer"). By publishing a shop profile or listing, you accept version 2026-05-27 of this Agreement, our Terms of Service, and Privacy Policy.

2. Your role

You are an independent seller, not an employee, agent, or partner of Let's Nduthis. You are solely responsible for product descriptions, pricing, stock, fitment advice, warranties, tax invoices, and compliance with KEBS, NTSA, and consumer protection laws in Republic of Kenya.

3. Listings & authenticity

  • List only items you are authorised to sell; no counterfeit or stolen goods.
  • Photos and titles must represent the actual item supplied.
  • Keep WhatsApp Business and shop contact details accurate for buyer orders.
  • Respond to in-app messages and orders within a reasonable time.

4. Fees & subscriptions

Dealer plans, commissions, and advertisement fees are shown at checkout and in your dashboard. We may change published fees with notice. Subscription fees are non-refundable except where required by law or expressly stated.

5. Escrow & direct payment phases

During pilot phases, buyers may order via WhatsApp or in-app chat without platform escrow. When M-Pesa production escrow is enabled, you must honour escrow checkout, hand-over confirmation, and payout timelines. Attempting to divert escrow-eligible sales entirely off-platform is a material breach.

6. Buyer data

Buyer personal data received through the Platform must be used only to fulfil orders and support. You must not add buyers to marketing lists without consent or sell their data.

7. Your warranties

You warrant that you have authority to enter this Agreement, your content does not infringe third-party rights, and your operations comply with applicable law. You warrant the quality and legality of goods sold, subject to any explicit listing disclaimers permitted by law.

8. Platform disclaimer

The Platform is provided "as is". We do not guarantee traffic, sales volume, or uninterrupted service. We may remove listings, withhold payouts during investigations, or terminate accounts for breach, fraud, or regulatory risk.

9. Indemnity (dealers)

You shall indemnify Let's Nduthis against all claims, penalties, damages, and costs (including legal fees) arising from: (a) your products or services; (b) injury or property damage linked to your goods; (c) regulatory non-compliance; (d) intellectual property disputes; (e) buyer claims you fail to resolve; (f) off-platform conduct that references the Platform or uses data obtained through it.

10. Liability cap

Except for fraud or liability that cannot be excluded under Kenyan law, our liability to you is limited to subscription fees paid to us in the three months preceding the event giving rise to the claim.

11. Termination

Either party may terminate by closing the account or written notice. We may suspend access immediately for breach. Surviving clauses include indemnity, liability limits, and governing law.

12. Governing law

This Agreement is governed by the laws of Republic of Kenya. Disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
